# Terms of Service

These terms are the agreement between you and Stella 56 Diamonds ("we", "us") for using Trader - Stella 56 ("Stella 56") at trader.stella56diamonds.com. By creating an account or using the app you accept them. If you use Stella 56 for a company, you accept them for that company. Our [Privacy Policy](https://trader.stella56diamonds.com/privacy.md) explains how we handle information.

## What Stella 56 is

Stella 56 is the back office of a diamond wholesale business. It keeps your stock, your invoices and memos, payments and cheques, cash and bank, expenses, and profit and loss, and lets you show stock to buyers through Field mode and share links.

It is a record-keeping tool. It doesn't buy, sell, hold, value or ship diamonds, take or send payments, or give accounting, tax or legal advice, and it is not a party to any deal you make.

## Your account

- You must be at least 18 and able to enter into a contract.
- One sign-in is one business. Keep your password and your devices secure, and tell us straight away if you think someone else has used your account.
- Give accurate details. You are responsible for what is done through your account.

Sign-in is with Google, or with an email address and a password; a code sent by email confirms a new address and can confirm a new device. Clerk provides the sign-in for us.

## Your data

Your business records belong to you. You allow us to store, process and show them only as needed to run Stella 56 for you, as our [Privacy Policy](https://trader.stella56diamonds.com/privacy.md) describes. You can export them at any time from Settings → Your data.

You are responsible for having the right to enter the details of your clients, suppliers and buyers, and for telling them how you use those details where the law requires it. For that information we act on your instructions.

The export gives CSV files of stock, trades, payments, expenses, clients and suppliers. Each invoice, memo and client statement can also be saved or shared as a PDF.

## Figures and documents

Stella 56 works out stock, balances and profit from what you enter, so they are only as complete as your records. Check invoices, memos and statements before you send them. Keep the records your tax authority requires: Stella 56 does not replace an accountant.

## Share links and Field mode

When you show stock to buyers, you choose what they see. Anyone holding a share link can open it until it expires or you revoke it. You are responsible for the prices and descriptions you show and for the deals you make with buyers.

A buyer never sees cost, margin, markup, supplier, notes, invoice numbers or what a client owes. A link expires after 1 day, 7 days, 30 days or never, as you choose, and can be revoked or replaced at any time.

## Acceptable use

You agree not to:

- use Stella 56 for anything unlawful, including trading in conflict diamonds or breaking sanctions or anti-money-laundering laws;
- try to reach another business's data, or probe, scan or test the service's security without our written permission;
- disrupt the service, overload it, or upload malicious code;
- copy, resell or scrape the service, or use share links to send spam.

Share links are limited per sender: 10 new visitors and 5 questions an hour. Questions beyond a link's hourly and daily limits are kept as spam rather than delivered.

## Fees

Stella 56 is free to use today. If we introduce paid plans, we will tell you in advance, and nothing you use will be charged without your agreement.

## Availability and changes to the service

We work to keep Stella 56 available, but we can't promise it will never be interrupted. We may change or remove features; if a change takes away something you rely on, we will tell you in advance where we reasonably can.

<a id="ending"></a>

## Ending your account

You can stop using Stella 56 at any time; export your data first. To close your account and delete its data, write to [privacy@stella56diamonds.com](mailto:privacy@stella56diamonds.com) from your account's email address.

We may suspend or close an account that breaks these terms or puts others or the service at risk. Unless the law or the risk prevents it, we will tell you first and give you time to export your data.

A closed account's records are deleted within 30 days, as the [Privacy Policy](https://trader.stella56diamonds.com/privacy.md#retention) sets out.

## No warranties

Stella 56 is provided "as is" and "as available". To the extent the law allows, we make no warranties, express or implied, including of merchantability, fitness for a particular purpose and non-infringement.

<a id="liability"></a>

## Limits on liability

To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, data or goodwill. Our total liability for any claim about Stella 56 is limited to the greater of what you paid us in the 12 months before the claim and 100 US dollars. Nothing in these terms limits liability that the law does not allow to be limited.

## Changes to these terms

We may update these terms. We will change the date at the top and tell you in the app or by email before a significant change takes effect. Using Stella 56 after that means you accept the new terms.
